Liquidate or Dissolve Your Seychelles Company Cleanly
When it’s time to close your Seychelles company, we handle the entire liquidation process. We appoint the liquidator, complete all statutory filings, and obtain your final Certificate of Dissolution, ensuring your company is properly dissolved with no outstanding obligations or future annual fees.

What is company liquidation in Seychelles?
Liquidation is the formal process of closing a Seychelles company under the International Business Companies Act 2016, ending with the company being deregistered and a Certificate of Dissolution issued by the Registrar. There are two clean ways to do it. A voluntary winding-up appoints a liquidator who settles any creditors, distributes whatever is left to the owners, files the final paperwork and has the company dissolved. A strike-off (administrative dissolution) suits a dormant company with nothing left to wind up. The right route depends on whether the company is solvent, whether it holds assets, and whether there are any outstanding balances. We confirm which one fits before any work starts.
Why close your company properly?
It stops the fees and penalties - a company you stop paying for isn't gone; it sits on the Register accruing the annual government fee and late penalties until it's struck off.
It limits director exposure - once a company is struck off and dissolved, directors and members can stay liable for unpaid fees and debts, and the company can no longer deal with its own assets.
You keep control of the assets - in a planned winding-up the liquidator distributes the surplus to the owners; in an unplanned strike-off, undistributed property can vest in the Government of Seychelles.
You get legal certainty - a Certificate of Dissolution is the final word that the company is closed, rather than a company drifting in struck-off limbo.
It protects your record - a clean exit looks far better to banks, partners and future registrars than a company that lapsed and was struck off for non-payment.
It handles your records obligation - accounting records still have to be kept for seven years after closing, and we make sure that's covered.
Is liquidation right for you?
Good fit:
owners winding down a company that has served its purpose
founders closing a solvent IBC with NIL or settled balances
holding structures being collapsed after assets are moved out
anyone who has stopped using a company and wants it formally closed rather than left to lapse
owners who need a Certificate of Dissolution for their own records or auditors
Not a fit: companies that simply want to move to another country rather than close (that's a continuation/re-domiciliation, not a liquidation), insolvent companies that need a creditors' process without first taking advice, or owners hoping a strike-off erases outstanding fees and liabilities - it doesn't, and the cleaner route is usually a planned winding-up.
