What is a Seychelles Limited Partnership?
A Seychelles Limited Partnership (LP) is a partnership vehicle governed by the Limited Partnerships Act 2003. It's made up of two types of partner: at least one general partner, who manages the business and carries unlimited liability for its debts, and one or more limited partners, who put in capital as passive investors and whose liability is capped at the amount they've committed. The partnership itself is tax-transparent - it isn't taxed as an entity, so profits and losses flow through to the partners, who are taxed wherever they're resident. Like other Seychelles structures, an LP needs a registered office in Seychelles, and it's designed for business carried on outside the country.
