Set Up a Seychelles SPV to Ring-Fence One Asset or Deal
We incorporate Seychelles Special Purpose Vehicles (SPVs) for transactions, asset holding, and ring-fenced projects. Once your KYC documents are approved, most SPVs are incorporated within one to three business days, giving you a dedicated legal entity to isolate risk and protect your wider business.

What is a Seychelles SPV?
A special purpose vehicle (SPV) is a company set up to do one defined thing and nothing else. In Seychelles, an SPV is simply an International Business Company (IBC) formed under the International Business Companies Act 2016 and regulated by the Financial Services Authority (FSA), but scoped to a single asset, transaction or project. Because the company has its own legal personality and limited liability, whatever happens inside the SPV stays inside the SPV: if that one deal runs into trouble, the loss is contained to the SPV and does not reach the parent, the sponsor or your other holdings. One person or company can own it, foreign ownership is 100% permitted, and there is no minimum paid-up capital. Once your documents pass KYC, the company is usually registered within one to three business days.
Why use a Seychelles SPV?
Ring-fences liabilities - the SPV is a separate legal entity, so a claim against the asset or deal it holds is contained to the SPV and cannot reach the parent or your other assets.
Clean separation from the parent - one purpose, one set of books, one balance sheet, which makes the structure easy for investors, lenders and auditors to read.
Fast, low-cost setup - US$850 all-in for year one, registered in days rather than weeks, so you can stand up a vehicle for a single deal without a long lead time.
Privacy by default - directors, shareholders and beneficial owners are not on any public register.
Flexible share classes - issue different classes to a co-investor, a lender or a joint-venture partner in any major currency, with no minimum capital.
Bankruptcy-remote by design - kept thinly capitalised and limited to its single purpose, an SPV can be structured so the parent's insolvency does not pull the ring-fenced asset down with it.
Is a Seychelles SPV right for you?
Good fit:
holding a single asset such as property, a vessel, an aircraft, an intellectual-property right or a token or crypto project
securitisation and structured-finance deals
raising finance or bringing in an investor for one specific deal
joint ventures where partners want a clean, neutral vehicle
any structure where you need one risk walled off from the rest of the group
Not a fit: trading physically inside Seychelles (that needs a domestic company and licence), regulated activities such as banking, insurance, securities or collective investment without the relevant FSA licence, or anyone hoping to sidestep tax at home - an SPV doesn't override your own country's tax-residence and reporting rules.
