What Seychelles Company Formation Costs in Year One
A Seychelles International Business Company starts with two government charges. The Registrar collects US$130 to incorporate the company, plus the US$140 annual fee that covers its first year on the register, per the FSA's published fee schedule. That puts the government's share of year one at US$270.
It's worth being clear about what the Registrar's fee actually pays for, because it's less than people expect: the name is entered on the register, the incorporation filing is processed, and the certificate of incorporation is issued. The US$140 is not a tax; it's the charge that keeps the company on the register for another year. Neither fee includes any of the legal drafting, the identity checks, or the registered office in Seychelles that every IBC must maintain by law.
You never pay those fees to the government yourself. Incorporation is filed through a corporate service provider licensed by the FSA, and the government fees travel inside the provider's invoice as one step in the wider Seychelles company formation process. That's why the real question is not what the Registrar charges but what the whole package costs.
Ours is a flat US$850 all-in for a Seychelles IBC, and both government fees sit inside it. The same price covers the name search and reservation, drafting of the memorandum and articles, the incorporation filing, 12 months of registered office, the statutory registers and share certificates, the beneficial ownership submission, and the digital document pack. Most companies are registered 1-3 business days after KYC approval, entirely remotely.
So the direct answer on the cost to register a company in Seychelles: US$270 of it goes to the government, and US$850 is the complete Seychelles incorporation cost for year one with the professional work included. Unless you add extras, there is nothing else to pay.
What a Seychelles Company Costs Per Year
From year two, the government wants one thing: the US$140 annual fee, due on each anniversary of incorporation. Miss it and the Registrar adds 10% during the first 90 days and 50% after that. If the fee is still unpaid 180 days past the due date, the company is struck off the register and dissolved on day 181 under FSA Circular No. 2 of 2025. Restoration is possible for five years afterwards, but it costs more than the fees that were skipped.
Our renewal is US$850 per year, the same figure as year one, and the US$140 government fee is inside it. The rest of the price buys another 12 months of registered office, the FSA annual filing, upkeep of the registers and beneficial ownership records, and deadline reminders so the penalty ladder above never applies to you. The renewal is part of our wider annual compliance service, which also tracks the accounting record lodgements every IBC owes twice a year.
Two numbers to budget, then: US$140 per year to the government, US$850 per year all-in with the maintenance work included. A company that keeps its renewal current never sees a penalty, a late notice, or a strike-off letter.
Optional Extras and What They Cost

A standard IBC needs none of the following, which is why none of them are bundled into the US$850. Add them only when your situation calls for them:
Nominee director or shareholder: US$800 per year each. A nominee keeps your name out of a casual company search; it never keeps it from regulators, banks, or courts, and nominee arrangements are disclosed under Seychelles law.
Accounting support: from US$350 per year. Every IBC must keep records sufficient to explain its transactions and lodge them at the registered office twice a year. This covers the preparation if you'd rather not do it in-house.
Audited accounts: from US$650 per year. No law requires a standard IBC to be audited; this is for owners whose banks, investors or group policies ask for one.
Certificate of incumbency: US$150. A dated confirmation of the company's directors, shareholders and status, commonly requested by banks during account opening.
Apostilled documents: budget US$150-400. Physical, apostilled originals for banks and counterparties that won't accept the digital pack, with the price varying by document count and courier destination.
How to Pay for a Seychelles Company
The standard formation payment methods are card and bank transfer. You pay one invoice for the year-one package, we confirm receipt, and the KYC and filing steps start immediately; renewals work the same way against an annual invoice.
Founders in crypto businesses often ask whether they can pay for an IBC in crypto. Acceptance varies across the industry and depends on compliance checks around the source of funds, so we don't publish a blanket yes. Tell us how you'd prefer to pay during the initial consultation and we'll confirm the accepted payment methods for your engagement before any invoice is issued.
What Can Change Your Total Cost
Most owners pay US$850, then US$850 a year, and nothing else. Five things move the number:
Nominee services. Each nominee adds US$800 per year. Nothing in the Seychelles IBC requirements obliges you to use one; one director and one shareholder, who can be the same person, is a complete company.
Licensed activities. Crypto exchanges, custody and other virtual asset services need a VASP licence, and forex brokerage sits under the securities dealer regime. An FSA licence is a separate project with application fees, capital requirements and local substance, and the budget is far larger than the company itself.
Your banking route. EMIs are usually quick and cheap to open; banks take longer and some expect meaningful balances. Account opening is a separate engagement, and approval is always the institution's decision, so treat any guaranteed-account promise as a red flag rather than a price.
Apostille and courier. The digital document pack is included; apostilled originals shipped to you add the US$150-400 above plus courier time.
Letting the company lapse. Penalties of 10% and then 50%, followed by strike-off, followed by a restoration bill that exceeds the renewals you skipped. The cheapest Seychelles company is one that renews on time.
FAQ
How much does it cost to register a company in Seychelles?
The government charges US$130 to register the company and US$140 for the first annual fee. Our all-in price for year one is US$850, which includes both government fees, the registered office, drafting, filing and the full document pack.
What are the Seychelles government fees for an IBC?
US$130 once at incorporation and US$140 every year, per the FSA's published fee schedule. A protected cell company pays more: US$500 to register and US$500 per year.
Why is the Seychelles IBC price higher than the government fees?
Because the law requires more than a filing. Every IBC must maintain a registered office in Seychelles and incorporate through an FSA-licensed provider, and the drafting, identity checks, registers and beneficial ownership submission are professional work. The package prices all of it together with the government fees.
Can I pay for a Seychelles IBC in crypto?
Sometimes. Card and bank transfer are the standard routes, and crypto acceptance depends on the provider and on source-of-funds checks. We confirm the payment methods available to you during the consultation, before any invoice is issued.
What does it cost if I pay the annual fee late?
A 10% penalty applies within the first 90 days and 50% after that. At 180 days unpaid, the company is struck off and dissolved on day 181, and restoring it within the five-year window costs more than the missed fees.
