Seychelles IBC Meaning
A Seychelles IBC (International Business Company) is a private limited-liability company registered under the Seychelles International Business Companies Act 2016, designed for business conducted outside Seychelles. That is the whole IBC definition in offshore terms: a normal limited company, incorporated in Seychelles, aimed at international rather than local trade.
Legally, an IBC is a separate person from its owners. It signs contracts, owns assets and owes debts in its own name, and shareholder liability is limited to what they put in for their shares. It is by far the most common Seychelles vehicle, and the one people mean when they talk about a "Seychelles offshore company".
The commercial point is tax treatment. Seychelles taxes on a territorial basis, so an IBC whose income all arises outside Seychelles pays no Seychelles business tax on it, which is what makes the structure attractive to founders, traders and holding-structure owners worldwide.
What a Seychelles IBC Can Do
For anything unregulated, an IBC works like any other limited company, and most of the practical Seychelles offshore company benefits flow from this list. A Seychelles IBC can:
Trade internationally: sell services, software or goods to customers in any country outside Seychelles.
Hold assets abroad: shares in other companies, real estate, intellectual property and investment portfolios.
Open bank and EMI accounts in its own name, in Seychelles or abroad, subject to each institution's approval.
Sign contracts and issue invoices as a legal person, with suppliers, clients and partners anywhere.
Employ people outside Seychelles and pay contractors and staff abroad.
Do business inside Seychelles, permitted since 2019, though local income is then taxed domestically and local licensing rules apply.
What an IBC Cannot Do

Section 5 of the Act reserves certain activities for licensed entities, and a plain IBC cannot touch them. It cannot carry on banking business anywhere in the world. It cannot carry on insurance business. It cannot deal in securities or run a brokerage. It cannot operate or manage mutual funds. It cannot provide corporate services, trustee services or foundation services to third parties. It cannot run gambling operations, including online gambling. And since the Virtual Asset Service Providers Act 2024, it cannot offer crypto exchange, custody or similar virtual asset services without a VASP licence. If your plan includes any of these, the licence is the real project and the IBC is one document inside it.
IBC vs Other Seychelles Company Types
The IBC is the default, but not the only option. Seychelles also offers the Special Licence Company (CSL) and the ordinary domestic company, and the right choice depends on where your income arises and whether you need treaty protection.
