Every Seychelles IBC renews once a year, on the anniversary of its incorporation, and the fee is due whether or not the company traded. In this post, we’ll walk you through when your renewal falls due, what the fee pays for, how the renewal runs and what happens if it is late.
Quick Summary
The annual fee is due on or before each anniversary of incorporation, so the first renewal falls 12 months after the company is formed.
The government fee is US$140 a year, paid to the Registrar through the company’s registered agent.
Our renewal is US$850 a year and includes that fee, the registered office and the year’s compliance work, including beneficial ownership upkeep and records lodging support.
Accounting, nominee services, audited accounts and extra certificates are priced separately.
Paying late adds 10% within 90 days and 50% after that, and a company still unpaid 180 days after the due date is struck off and dissolved on day 181.
When Your Seychelles IBC Renewal Is Due
Under section 12 of the International Business Companies Act 2016, every company on the register pays its annual fee on or before each anniversary of its incorporation. A company that continued into Seychelles from another country, or converted into an IBC, counts from that date instead. There is no shared calendar deadline: a company formed on 14 March renews by 14 March every year.
At incorporation the company pays a US$130 registration fee, and the first US$140 annual fee falls due on the first anniversary, 12 months later. The date is on your certificate of incorporation, and a certificate of official search from the Registrar states the due date of the annual fee (section 352). If the Registrar’s office is closed on that day, the fee can be paid on the next working day without a penalty (IBC Guidelines, para 9.1).
Seychelles IBC Renewal Fees
The government part of the renewal is a flat fee: the FSA fee schedule sets the annual fee for a standard IBC at US$140. Year one is covered by what a Seychelles company costs to form: US$850 all-in, with the first year’s government fees included. From the first anniversary, our renewal is US$850 a year.

What the Renewal Fee Does Not Cover
The renewal is US$850 a year, and the extras below are what change the three-year cost from one company to the next. Each is priced on its own:
Accounting: from US$350 a year, depending on how many transactions there are to book.
Nominee director or shareholder: US$800 a year each.
Audited accounts: from US$650 a year. The IBC Act does not require an audit for a standard IBC.
Certificate of incumbency: US$150.
Certificate of good standing: issued on request, with a US$25 government fee (section 351).
Filing changes: a new company name or amended articles carries a US$50 government fee each when filed within 30 days of the resolution, or US$100 after that.
How to Renew a Seychelles IBC
Reminder and invoice: we send a reminder and the renewal invoice ahead of the anniversary.
Confirm your details: you confirm the current owners and directors. The yearly beneficial ownership review falls in the same window: at least one review must happen in the 3 months before the anniversary, and a declaration of compliance is kept at the resident agent’s office within 1 month after it (Beneficial Ownership Regulations, reg 13).
Pay before the anniversary: payment on or before the due date carries no penalty.
Government fee paid: the US$140 goes to the Registrar through the company’s registered agent, and the registered office and filings stay in place.
Good standing continues: the company stays in good standing, and a certificate of good standing is available on request.
The renewal is one date in the annual compliance calendar, and the other obligations run on their own dates. Accounting records kept outside Seychelles are lodged at the registered office at least twice a year, with January to June records due by the end of July and July to December records by the end of January (FSA Circular No. 9 of 2021). When a director changes, an updated register of directors goes to the Registrar within 30 days (section 152).
Late Renewal Penalties
Paying after the anniversary adds 10% of the fee, US$14, within 90 days and 50%, US$70, after that (sections 12(3) and 12(4)). The 180 days cover the penalty as well as the fee: a company still owing either on day 180 is struck off and dissolved on day 181 under FSA Circular No. 2 of 2025. If you do not renew at all, the company ceases to exist as a legal entity, and restoring it within five years costs more than the fees you missed.
FAQ
Can I pay my Seychelles IBC renewal early?
Yes. Section 12 requires payment on or before the anniversary, so a payment made before the due date is on time and carries no penalty. Paying early does not move the anniversary: the next renewal is still due on the same date the following year.
Does the renewal fee change if my company did not trade?
No. The US$140 fee is owed by every company on the register, trading or not (section 12), and the IBC Act has no formal dormant status that pauses it. Our renewal stays at US$850 as well. A company that has not traded keeps a directors’ declaration of that fact in place of accounting records (IBC Guidelines, para 32.10).
Can I move my IBC to a new provider at renewal?
Yes. The company passes a resolution appointing its new registered agent, which is filed with the Registrar within 14 days for a US$50 government fee (section 169). Once the company authorises it in writing, the current agent must consent unless its own fees are unpaid, and it may decline while the company is behind on its accounting records, registers or beneficial ownership register, so settle those before the anniversary.
Do I get a certificate of good standing when I renew?
Not automatically. A certificate of good standing is issued on request, for a US$25 government fee, and only once the company has paid all its fees and penalties (section 351). While any fee or penalty is outstanding, the certificate is not issued.
