What is redomiciliation?

Redomiciliation - also called continuation or transfer of domicile - lets an existing foreign company move its registration to Seychelles without dissolving and starting over. The same legal entity carries on under the International Business Companies Act 2016, keeping its incorporation date, history, contracts and obligations. The Seychelles Registrar issues a Certificate of Continuation, and from that point the company exists as a Seychelles IBC with all the corporate powers the Act allows. The route works both ways: a foreign company can continue into Seychelles, and an existing Seychelles IBC can continue out to another jurisdiction, provided its constitution doesn't forbid it and nothing is owed to the Registrar.

Is redomiciliation right for you?

Good fit: companies where keeping the exact same legal entity matters - live contracts that can't easily be reassigned, regulatory licences or registrations tied to the entity, a banking history you don't want to lose, or a trading record and reputation built up over years. If continuity is the whole point, continuation is the honest answer.

Not a fit: founders who mainly want speed and a low cost. In practice the continuation route is paperwork-heavy and means coordinating two registrars at once, so it usually costs more and takes longer than simply forming a fresh Seychelles IBC and transferring the business across. It also won't help if your current jurisdiction prohibits moving the company out, if the company is being wound up, dissolved or struck off, or if there are unpaid fees or penalties in the old jurisdiction.

What We'll Need From You

For a formal continuation into Seychelles, the Registrar expects a specific set of documents from the old jurisdiction:

• The company's existing Certificate of Incorporation

• The current Memorandum and Articles of Association (authenticated)

• A Certificate of Good Standing (or local equivalent) showing the company is in order

• A board or members' resolution approving the move to Seychelles

• A solvency declaration confirming the company is not being wound up, dissolved or struck off, with no receiver or administrator appointed

• Confirmation that the laws of the old jurisdiction permit the company to continue elsewhere

• Up-to-date registers of directors and members

• Standard KYC on each owner and director: certified passport, proof of address within 3 months, and source-of-funds details

If we recommend the fresh-company route instead, the checklist is lighter - the same KYC, one to three proposed names and a short description of your activity - and we then handle moving the assets and contracts across.
